When
deciding what legal structure to use for a new business, most
people find that they make the decision based on a combination
of three factors: Initial Cost;
Tax Considerations; and
Liability Exposure. While
there are several other specialized forms of business allowed in
Texas, 99% of new businesses begin as one of the four legal
forms shown above.
Initial Cost
- Sole Proprietorships and General Partnerships are the least
expensive forms of business to set up and maintain. Even
though it is not legally required, we always recommend a written
agreement for General Partnerships.
Tax Considerations
- For businesses making a significant profit, an LLC or
Corporation allows business owners to avoid most Self Employment
Tax. If you are not expecting an immediate profit, a Sole
Proprietorship will minimize your expenses while still allowing
deductions on your personal tax return.
Liability Exposure
- If your business runs the risk of being sued, you have two
forms of protection available: Business Insurance and the
limited liability protection offered by a Corporation or LLC.
While neither choice is 100% sure, they both offer a reasonable
degree of protection against someone suing you for your personal
assets -- as long as you have operated your business legally and
in good faith.

Fair Labor
Standards Changes - June 8th, 5:30 pm |

to the Fair Labor Standards Act which may affect small business,
especially those in the Ag sector. Clay Gibson with U.S.
Department of Labor will present a seminar on the current
standards and coming changes in FLSA.
